These Terms & Conditions establish the framework for working with Orbilect Labs. They define our services, project responsibilities, payments, delivery expectations, revisions, intellectual property, confidentiality, and other important terms that govern our professional relationship with clients.

Introduction

Welcome to Orbilect Labs. These Terms & Conditions govern the relationship between Orbilect Labs ("Orbilect", "we", "us", or "our") and any individual, company, organization, or other entity engaging our services ("Client", "you", or "your").

By requesting, purchasing, approving, or using any service provided by Orbilect Labs, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

These terms apply to software development, website development, mobile application development, UI/UX design, SaaS development, AI and automation, cloud and DevOps, digital transformation, game development, consulting, maintenance, support, and other digital services provided by Orbilect Labs.

Definitions

For the purposes of these Terms & Conditions:

  • "Client" means the person or organization purchasing or requesting our services.
  • "Services" means any development, design, consulting, maintenance, support, or digital service provided by Orbilect Labs.
  • "Deliverables" means the agreed designs, software, applications, websites, documentation, source code, assets, or other materials supplied as part of a project.
  • "Project" means the specific work described in a proposal, quotation, statement of work, invoice, contract, or other written agreement.
  • "Revision" means a reasonable modification to an agreed deliverable that remains within the original project scope.

The exact services, specifications, features, technologies, milestones, timelines, and deliverables applicable to a project will be defined in the relevant proposal, quotation, statement of work, project agreement, or written communication.

Project Scope

Every project is undertaken according to an agreed scope. The scope may include specific features, designs, integrations, technologies, platforms, pages, screens, functionality, documentation, or other deliverables.

Features or requirements that are not included in the agreed scope may be treated as additional work and may require additional fees and/or additional delivery time.

Orbilect reserves the right to issue a revised quotation or change request where a requested change materially affects the original scope.

Client Responsibilities

Successful project delivery requires timely cooperation from both parties. The Client agrees to provide all information, content, credentials, approvals, assets, specifications, and feedback reasonably required to complete the project.

This may include:

  • Brand assets and logos.
  • Text and marketing content.
  • Images, videos, and other media.
  • Hosting or domain credentials where required.
  • API keys and third-party service credentials.
  • Business and technical requirements.
  • Timely feedback and approvals.
  • Access to required accounts or platforms.

Delays caused by unavailable information, delayed feedback, unavailable credentials, or changes in requirements may affect the estimated delivery schedule.

Payments & Billing

An advance payment is required before Orbilect Labs begins work on a project unless a different payment arrangement has been expressly agreed to in writing.

The required advance may vary depending on the nature, complexity, duration, and commercial terms of the project.

Work begins after the required advance payment has been received and verified.Project timelines are generally calculated from the point at which the required payment, project information, and necessary materials have been received.

Payment Schedule

Depending on the project, payments may be structured as an advance payment followed by milestone payments, staged payments, or a final payment upon completion.

The specific payment schedule communicated in a quotation, invoice, proposal, or agreement will take precedence for that project.

Accepted Payment Methods

Orbilect Labs will communicate the payment methods available for a particular engagement directly to the Client. Only payment methods expressly approved or provided by Orbilect should be used.

Payment Methods Not Accepted Without Written Approval

Payments must not be sent by cheque, cash, bank wire transfer, PayPal, cryptocurrency, or any other payment method unless Orbilect Labs has specifically provided written instructions authorizing that method for the relevant project.

A payment sent through an unauthorized method may not be considered received until the funds have been successfully verified and credited through an approved payment channel.

Non-Refundable Payments

Unless otherwise required by applicable law or expressly agreed in writing, payments made to initiate or reserve project work are non-refundable.

This includes, where applicable:

  • Initial advance payments.
  • Project booking or reservation payments.
  • Discovery and planning fees.
  • Research fees.
  • UI/UX design fees already incurred.
  • Development work already completed.
  • Milestone payments for completed work.
  • Third-party service or infrastructure costs.
  • Domain and hosting-related expenses.
  • Software licenses and subscriptions.
  • Purchased plugins, APIs, assets, or services.
  • Custom development work already performed.

Once resources have been allocated and work has commenced, the Client cannot automatically request a refund simply because the Client changes its mind, changes business direction, decides not to launch, or no longer requires the project.

Project Delivery & Timeframes

Project timelines are estimates based on the agreed scope and the information available when the project begins.

Delivery timeframes may vary depending on:

  • Project complexity.
  • Number of features and integrations.
  • Client feedback and approval speed.
  • Availability of required content.
  • Third-party APIs and services.
  • Hosting or infrastructure requirements.
  • Changes to the original scope.
  • Technical issues outside our control.

Unless explicitly stated as a guaranteed deadline in a signed agreement, project timelines are estimates rather than guaranteed completion dates.

Deliverables may be provided in stages, through development environments, staging environments, repositories, preview links, testing builds, or production deployment depending on the nature of the project.

Revisions & Client Satisfaction

We aim to deliver work that aligns with the agreed requirements, specifications, and project objectives.

15-Day Revision WindowIf the Client is not satisfied with a delivered deliverable, the Client may request reasonable revisions within 15 days of delivery at no additional development or revision cost, provided the requested revisions remain within the original project scope.

The 15-day revision period begins on the date the relevant deliverable is made available to the Client.

Revisions caused by a change in business requirements, new functionality, new design direction, additional features, or requirements that were not part of the original scope may be treated as additional work.

The revision policy does not constitute an unlimited redesign or redevelopment guarantee.

Delays & Dependencies

Orbilect Labs is not responsible for delays resulting from circumstances reasonably outside our control.

Such circumstances may include third-party outages, hosting failures, API changes, platform restrictions, service interruptions, force majeure events, infrastructure failures, regulatory changes, security incidents, or delayed Client responses.

Where a Client significantly delays feedback or required materials, Orbilect may adjust the delivery schedule accordingly.

Cancellation & Refund Policy

A Client may request cancellation of a project by providing written notice.

Cancellation does not automatically entitle the Client to a refund.

If cancellation occurs after work has commenced, Orbilect may retain amounts corresponding to work already performed, resources allocated, third-party expenses, purchased services, and non-refundable payments.

If a project is cancelled after a milestone has been completed, the Client remains responsible for the applicable milestone payment.

Any refund, credit, or commercial adjustment will be considered on a case-by-case basis and will be subject to the applicable agreement and law.

Intellectual Property

Ownership and licensing of project deliverables will depend on the agreed commercial arrangement.

Unless otherwise agreed in writing, Orbilect retains ownership of its pre-existing tools, frameworks, libraries, reusable components, methodologies, development processes, templates, know-how, and proprietary systems.

Upon receipt of all applicable project payments, ownership of specifically commissioned final deliverables may be transferred or licensed to the Client according to the applicable project agreement.

Third-party libraries, frameworks, APIs, fonts, plugins, stock assets, software, and other licensed materials remain subject to their respective licensing terms.

NDA & Confidentiality

Orbilect Labs understands that clients may provide confidential business, technical, financial, product, customer, or strategic information during a project.

We will use reasonable measures to protect confidential information and will not intentionally disclose such information to unauthorized parties except where disclosure is required by law or reasonably necessary to provide the agreed services.

Where a separate Non-Disclosure Agreement ("NDA") is executed, the NDA will govern the confidentiality obligations covered by that agreement.

Unless prohibited by a written confidentiality agreement, Orbilect may identify a project generally in its portfolio or marketing materials after public launch. Confidential projects and projects subject to NDA restrictions will not be publicly disclosed in a manner that violates the applicable confidentiality obligations.

Third-Party Services & Integrations

Digital products frequently depend on third-party platforms and services such as cloud providers, payment processors, APIs, app stores, hosting providers, analytics platforms, email services, authentication providers, maps, AI services, and other external systems.

Orbilect is not responsible for changes, outages, pricing modifications, restrictions, discontinuation, security incidents, or policy changes affecting third-party services.

Third-party subscription fees and usage charges are generally the responsibility of the Client unless expressly included in the project agreement.

Warranties & Support

Orbilect will make reasonable efforts to provide services professionally and according to the agreed specifications.

Unless specifically stated in writing, Orbilect does not guarantee that a software product will be completely free from bugs, interruptions, security vulnerabilities, compatibility issues, or third-party service failures.

Post-launch maintenance, support, monitoring, additional development, hosting management, and long-term technical support are separate services unless expressly included in the project agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, Orbilect Labs will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use a delivered product or service.

This may include loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings.

Nothing in these Terms & Conditions is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

Termination

Either party may request termination of an ongoing engagement where circumstances make continued work impractical.

Orbilect may suspend or terminate services where the Client fails to make required payments, repeatedly breaches agreed terms, requests unlawful activity, abuses team members, or materially interferes with the delivery of the project.

Upon termination, the Client remains responsible for all fees relating to completed work, approved milestones, committed resources, and non-refundable expenses incurred before termination.

Disputes & Governing Terms

We encourage clients to contact Orbilect Labs first to resolve any disagreement or concern through good faith communication.

The parties should attempt to resolve disputes through negotiation before initiating formal legal proceedings, where reasonably appropriate.

The governing law, jurisdiction, and dispute resolution mechanism for a specific engagement may be established in the applicable project agreement, proposal, contract, or other written arrangement.
